Board and Management Team


Ilan Shiloah, 57
  • Joined Matomy as Chairman in 2007 and continues to serve in this role.
  • Currently Chairman of McCann WorldGroup, Israel, and Chairman and major shareholder of The Time, an investment company based in Tel Aviv that focuses on young innovative technology start-ups in the area of new media.
  • BA and MBA in Economics & Management from Tel Aviv University.

Ofer Druker, 48
  • Co-founder and CEO of Matomy.
  • Previously, he was Chief Executive Officer at Xtend Media, which he co-founded in 2006. Xtend Media was acquired by Matomy in 2008.
  • Served as President of Soho Digital International, a subsidiary of Direct Revenues, from 2005 to 2006 and President of International Sales at Cydoor Desktop Media, from 1998 to 2005. He was also co-founder of both Soho Digital International and Cydoor Desktop Media.
  • BA in Middle East and African Studies from Tel Aviv University.

Sagi Niri, 42
  • Joined Matomy in 2008 and currently serves as Chief Financial Officer.
  • Previously Chief Controller at McCann Erickson Israel Group from 2000-2008 and a manager at Deloitte Israel.
  • BA in Corporate Finance from the College of Management – Academic Studies and an MBA in Finance from Manchester University.
  • Member of the Institute of Certified Public Accountants in Israel since 2000.

Harel Beit-On, 55
  • Appointed as Non-executive Director of Matomy in July 2010.
  • Co-founder of the Viola Group and Carmel Ventures.
  • Currently Chairman of NASDAQ-listed Lumenis, and serves as an active board member of a number of portfolio companies of the Viola Group.
  • Previously held a number of roles at the former NASDAQ-listed Tecnomatix, from 1985 to 2005 before it was acquired by UGS, including Chief Executive Officer, President and Chairman. Chairman of the former-NASDAQ listed ECtel, from 2004 to 2006.
  • BA in Economics from the Hebrew University and an MBA from the Massachusetts Institute of Technology.

Rupert Howell, 57
  • Appointed as Deputy Chairman and Senior Independent Director of Matomy in March 2014.
  • Currently Group Transformation Director of Trinity Mirror plc and non-executive Chairman of the Billington Cartmell Group, an independent UK marketing agency.
  • Previously Managing Director of the Broadcast and Online division and board director of ITV plc from 2007 to 2010 and held a number of roles at McCann Erickson from 2003 to 2007, including President of EMEA, Chairman of the UK & Ireland Group and Regional Director of EMEA Operations. Co-founder of Howell Henry Chaldecott Lury, a UK-based advertising agency, where he worked from 1987 until 1997 when it was acquired by Chime Communications plc, where he was Chief Executive Officer from 1997 to 2002.
  • President of the European Association of Communications Agencies from 2006 to 2007 and President of the Institute of Practitioners in Advertising from 2000 to 2001.
  • BSc in Management Sciences from Warwick University (and former director of Warwick Business School).

Gary Hughes, 52
  • Appointed as an independent Non-executive Director to, and nominated as external director of, Matomy in March 2014.
  • Senior adviser at Apax Partners LLP and currently serves as an active board member of a number of companies, including acting as the Chairman of the audit committee of SECC Limited and J Sainsbury plc.
  • Chief Financial Officer of Gala Coral Group Ltd from 2008 to 2011. Prior roles include Chief Executive Officer of CMP Information, a division of United Business Media plc from 2006 to 2008, Group Finance Director at Emap plc from 2000 to 2005, Group Finance Director at Scottish Media Group plc from 1996 to 2000, Deputy Finance Director at Forte plc from 1994 to 1996 and various roles at Guinness plc and United Distillers from 1988 to 1994, including Group Financial Controller, M&A Director and Senior Vice President of Finance and Manufacturing at United Distillers, North America.
  • Qualified as a chartered accountant at Ernst & Whinney, now part of Ernst & Young.
  • BA in Economics and Econometrics from the University of Strathclyde.

Nathalie Schwarz, 44
  • Appointed as an independent Non-executive Director of Matomy in March 2014.
  • Currently non-executive director of Wilmington Group plc and Photon Kathaas plc.
  • Previously Commercial and Corporate Development Director at Channel 4 Television Corporation from 2005 to 2011 and was Chief Executive of Channel 4 Radio from 2005 to 2007. Prior to joining Channel 4, she was Group Strategy and Development Director at Capital Radio plc from 2001 to 2005 and was also its Company Secretary and General Counsel from 1998 to 2001. She was an associate at the international law firm Clifford Chance from 1993 to 1998.
  • LLB (Hons) from the University of Manchester.

Nadav Zohar, 47
  • Appointed as an independent Non-executive Director to, and nominated as external director of, Matomy in March 2014.
  • Senior Consultant of Impact Equity Corporation advising and taking an active management role in a select portfolio of growth media and technology companies.
  • Chairman of Soluto from 2008 to 2013. Prior to joining Soluto he held a number of roles at Morgan Stanley, both in London and Israel, from 2001 to 2006, including executive director of the Financial Sponsor, European Banking and Global Technology groups.
  • Vice President of M&A at Lehman Brothers, London from 1997 to 2001 specialising in advising companies in the healthcare, general industrial and telecommunication sectors.
  • MSc in Finance from the London Business School and an LLB from the University of Reading.

Governance


Companies incorporated under Israeli laws whose securities are offered to the public, including companies with shares traded on the high growth segment of the London Stock Exchange’s main market, are considered public companies under the Israeli Companies Law 5759-1999 (the “Israeli Companies Law”), and are required to comply with various corporate governance requirements under the Israeli Companies Law.
 
Companies admitted to trading on the high growth segment of the London Stock Exchange’s main market are not required to comply with the UK Corporate Governance Code published in September 2012 by the Financial Reporting Council (the “Code”). The UK Corporate Governance Code sets out standards of good practice in relation to board leadership and effectiveness, remuneration, accountability and relations with shareholders. Matomy Media Group Ltd.’s (the “Company”) Board of Directors is committed to high standards of corporate governance and therefore intends to comply with the principles and provisions of the UK Corporate Governance Code on an on-going basis, as appropriate for the Company’s size and nature of its business.
